Agreement to Terms

By accessing or using the Virtual Growth Systems website (virtualgrowthsystems.com) and our services, you agree to be bound by these Terms of Service. Description of Services

Virtual Growth Systems provides website design, development, search engine optimization (SEO), and digital marketing services for small businesses. Our services include but are not limited to:

• Professional website design and development

• Google Business Profile optimization
• Lead generation systems
• Website infrastructure and continuous optimization
• Digital marketing consultation

Website Ownership

Upon full payment of the agreed setup fee, you will own your website outright. This includes:

• Full ownership of the website code and design
• Rights to all custom content created specifically for your website
• Access to all website files upon request
• The ability to transfer your website to another hosting provider

Note: Third-party elements such as stock images, fonts, and plugins may have their own licensing terms that must be respected.

Payment Terms

Foundation Buildout (One-Time)

A one-time Foundation Buildout fee is required to begin work on your project. This is where we build the full system — SEO setup, website optimization, tracking, and visibility foundation — so everything is set up to generate results properly. You pay once, you own it forever. Payment terms will be specified in your service agreement.

Monthly Services

Monthly service fees power your growth system — including infrastructure, visibility optimization, content updates, and continuous improvements designed to increase your leads and customer flow. Monthly fees are billed in advance and are non-refundable for the current billing period.

Late Payments

If payment is not received within 15 days of the due date, we reserve the right to suspend services until payment is received. Continued non-payment may result in termination of services.

Service Cancellation

You may cancel your monthly services at any time with 30 days written notice. Upon cancellation:

• You retain full ownership of your website
• We will provide all website files upon request
• Growth system services will cease at the end of your billing period
• You are responsible for migrating your website to a new host if desired

We do not require long-term contracts. There are no cancellation fees for monthly services.

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information for your project
• Respond to requests for feedback and approvals in a timely manner
• Provide any content, images, or materials needed for your website
• Ensure you have the rights to use any content you provide
• Review and approve deliverables within the specified timeframe
• Make payments according to the agreed schedule

Intellectual Property

Your Content

You retain all rights to the content you provide, including text, images, logos, and other materials. You grant us a license to use this content solely for the purpose of providing our services.

Our Materials

Virtual Growth Systems retains ownership of our proprietary tools, templates, processes, and methodologies. We may use anonymized project data and case studies for marketing purposes unless otherwise agreed.

Warranties and Disclaimers

We strive to provide high-quality services, but we cannot guarantee specific results. While we aim to improve your online visibility and lead generation, results depend on many factors including market conditions, competition, and your industry.

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. We make reasonable efforts to protect your data but cannot guarantee absolute security.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRTUAL GROWTH SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OUR SERVICES.

Our total liability for any claim arising out of these terms shall not exceed the total amount paid by you for services in the six (6) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Virtual Growth Systems, its owners, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.
